Dürr, a leading plant engineering company based in Germany, has finalized the sale of its environmental technology business, specifically the Clean Technology Systems Environmental division, to an affiliate of the US investment firm Stellex Capital Management. This transaction, announced in June, signifies a strategic move for Dürr as it seeks to streamline its operations.

The deal values the environmental technology business at approximately €385 million. Dürr anticipates receiving gross proceeds between €290 million and €310 million in the fourth quarter of 2024. After accounting for transaction-related costs and taxes, which are expected to be mostly payable in 2026, the exact amounts will be detailed once the final balance sheet is prepared.

The Clean Technology Systems Environmental division, recognized as a global leader in exhaust-air purification systems, reported sales of €407 million in 2024 and employs around 1,300 individuals. This divestment represents a critical step in Dürr’s ongoing efforts to simplify its corporate structure, which began last year. Alongside this sale, the company also consolidated its automotive business and divested from the Danish filling technology specialist Agramkow, reducing its divisions from five to three.

Strategic Focus on Core Business

Dr. Jochen Weyrauch, CEO of Dürr, emphasized the significance of this sale, stating, “With the sale of the environmental technology business, we have successfully completed the simplification of our Group structure. Our focus is now fully on our core business, centered on the sustainable automation of production processes.”

Dürr retains a 25 percent investment in the environmental technology business, which positions it for continued growth under Stellex’s ownership. Karthik Achar, Partner at Stellex, expressed enthusiasm about the partnership, saying, “Alongside a reputable and valued partner in Dürr, we look forward to driving future growth of the Clean Technology Systems business across the globe, working to bring Stellex’s transatlantic resources to bear.”

This move allows Dürr to concentrate on its primary operations while ensuring that the environmental technology division can further develop and explore new markets with its new ownership. As the global push for sustainable solutions intensifies, both companies aim to leverage their strengths for future success.
